Introduction
These Terms of Service (“Terms”) govern your access to and use of the products, websites, software, tools, application programming interfaces (APIs), content services, and other services provided by LRNOVA (“LRNOVA,” “we,” “us,” or the “Company”), including AI-powered educational content creation platforms, virtual avatar creation, training platforms, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and all applicable laws and regulations.
If you agree to these Terms on behalf of an organization or legal entity, the terms “you” or “User” include that entity.
1. Eligibility
You acknowledge and warrant that:
You are at least 18 years of age and have full legal capacity to enter into a binding agreement.
Your use of the Services complies with all applicable laws and these Terms.
2. Acceptance of the terms

LRNOVA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for internal training, learning, and content creation purposes.
You may authorize employees, contractors, or affiliates to use the Services through your account, while remaining responsible for their compliance with these Terms.
LRNOVA retains all intellectual property rights related to the Services, including software, tools, algorithms, documentation, and user interfaces.
5. User content and intellectual property rights
You may upload, submit, or create content using the Services (“User Content”).
Ownership: You retain all ownership rights in your User Content and any outputs generated based on your input (“Outputs”), subject to the licenses granted below.
License to LRNOVA: By submitting User Content or Outputs through the Services, you grant LRNOVA a worldwide, royalty-free, transferable, sublicensable, and irrevocable license to use, host, store, copy, modify, transmit, display, and distribute your User Content and Outputs to provide, improve, and promote the Services.
Use of Outputs: You are fully responsible for your User Content and Outputs and must ensure that they do not infringe any third-party rights or applicable laws.
6. Prohibited uses
You agree not to use the Services to:
Upload, create, or distribute content that is illegal, offensive, obscene, hateful, defamatory, or harmful.
Create or share content that includes the image, voice, identity, or persona of any individual without their explicit consent.
Infringe any intellectual property or privacy rights.
Attempt to reverse engineer, decompile, or extract proprietary technologies of the Services.
Use automated tools, bots, or scraping technologies to access or interact with the Services.
Present Outputs as entirely human-generated or misrepresent their AI-based source where disclosure is legally required.
7. Fees, Subscriptions, and Payments
Subscriptions and Payments
Access to certain parts of the Services may require a subscription and payment of fees.
Subscriptions are automatically renewed unless canceled in accordance with LRNOVA’s cancellation policy.
You agree to pay all applicable fees and taxes and authorize LRNOVA to charge the payment method you provide.
Except as required by law, payments are non-refundable.
Pricing Changes:
LRNOVA reserves the right to modify, update, or change subscription plans, fees, or billing methods at any time.
Changes become effective upon subscription renewal or as otherwise notified. Continued use of the Services constitutes acceptance of the updated pricing.
Subscription Expiration and Reversion to Free Plan:
Upon expiration or cancellation of a paid subscription, your account will automatically revert to the free plan (unless otherwise specified).
Access to paid features, credits, or subscription functionalities will end at the conclusion of the current billing period.
Any content created during the paid subscription may be subject to restrictions under the free plan.
8. Edit, comment, or terminate
LRNOVA may, at its sole discretion and without prior notice:
Modify or suspend any part of the Services.
Suspend or terminate your access if you violate these Terms or for operational reasons.
You may stop using the Services at any time. Upon termination, all your rights to access the Services will end.
9. Disclaimer and Limitation of Liability
The Services are provided “as is” and “as available” without any express or implied warranties.
LRNOVA does not guarantee uninterrupted operation, error-free performance, security, or accuracy of results.
To the fullest extent permitted by law, LRNOVA and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services.
Your sole remedy for dissatisfaction with the Services is to stop using them
10. Compensation
You agree to indemnify, defend, and hold harmless LRNOVA from and against any claims, damages, losses, liabilities, or expenses arising out of:
Your use of the Services.
Your violation of these Terms.
Your User Content or Outputs.
11. Applicable Law and Dispute Resolution
These Terms are governed by the laws of England and Wales (or any other jurisdiction specified by the Company).
Any disputes arising from these Terms shall first be resolved through amicable negotiations. If such resolution is not possible, disputes may be settled by binding arbitration or before the competent courts.
12. Amendments to the terms
LRNOVA may update these terms from time to time. The revised version will be published with a new effective date.
Continued use of the services after the update constitutes acceptance of the revised terms.
